TERMS OF USE FOR CRAMEASY

Thank you for using CramEasy!

These Terms of Use apply to your use of CramEasy. These Terms form an agreement between you and CramEasy Ltd., and they include important provisions for resolving disputes through arbitration. By using our Services, you agree to these Terms.

Our Privacy Policy explains how we collect and use personal information. Although it does not form part of these Terms, it is an important document that you should read.

WHO WE ARE

CramEasy is an educational platform created to help students learn, test their knowledge, and improve academically. All features, including uploading materials and receiving test results are strictly for educational purposes.

CramEasy is not intended for social networking, entertainment, or any other non-educational use.

ELIGIBILITY

CramEasy is open to students of all ages. However, if you are under 18, your use of CramEasy is subject to our Privacy Policy, which permits the collection and processing of your information solely for educational purposes and in your best interest, in compliance with the Nigerian Data Protection Act (NDPA) 2023.

You must ensure all information provided during account creation is truthful, accurate, and up-to-date.

ACCOUNT REGISTRATION & SECURITY

When registering, you agree to:

  1. Provide accurate personal details.
  2. Keep your login credentials safe and confidential.
  3. Take responsibility for all activities under your account.
  4. Notify us immediately at support@crameasy.com if you suspect unauthorised access.

ACCEPTABLE USE

You agree to use CramEasy only for lawful and educational purposes. You must not:

  • Upload or share content you do not own or have permission to use.
  • Upload illegal files, for example child ponographic contents.
  • Engage in plagiarism or promote academic dishonesty.
  • Modify, copy, lease, sell or distribute any of our Services.
  • Interfere with the platform’s security features.
  • Use our Services in a way that infringes, misappropriates or violates anyone’s rights.
  • Introduce malware, viruses, or any harmful code.

TEST RESULTS DISCLAIMER

Test results generated by CramEasy are based entirely on the materials you upload. We make reasonable efforts to ensure accuracy, but results are for learning purposes only and are not a substitute for official academic grading.

DISPUTE RESOLUTION & ARBITRATION

Any dispute, controversy, or claim arising out of or relating to these Terms, including their interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Mediation Act, 2023 (Nigeria). The language of the arbitration shall be English. The arbitral tribunal shall consist of one (1) arbitrator, unless the parties agree otherwise. The award of the arbitrator shall be final and binding on the parties, and judgment upon the award may be entered in any court of competent jurisdiction. The seat of arbitration shall be in Lagos, Nigeria or via video conference, or such other location as the parties may mutually agree in writing. The arbitrator will be either a licensed Arbitrator or attorney licensed to practice law in Nigeria. The arbitrator will have exclusive authority to resolve any dispute arising under these Terms, including questions relating to the interpretation, application, and enforceability of this arbitration agreement, except that Nigerian courts will retain authority to determine issues concerning the validity or enforceability of the class action waiver or to grant public injunctive relief as permitted by Nigerian law. Any settlement offer amounts will not be disclosed to the arbitrator by either party until after the arbitrator determines the final award, if any. The arbitrator has the authority to grant motions dispositive of all or part of any Dispute.

Class Action Waiver: To the fullest extent permitted by Nigerian law, you and CramEasy agree that disputes shall be resolved on an individual basis only, and not as part of any joint, consolidated, class, or representative action. Class actions, and representative actions are prohibited. Only individual relief is available

NOTE: Prior to Arbitration, every complaint must first be forwarded to CramEasy Ltd. Via info@crameasy.com, and upon failure to resolve such issue within 30 days, the dispute shall be referred to Arbitration.

GOVERNING LAW

These Terms are governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

USER CONTENT AND ACTIVITIES

By submitting, posting, uploading, embedding, displaying, communicating, linking to, emailing, or otherwise distributing or publishing any review, problem report, suggestion, idea, solution, question, answer, class notes, course outlines, bibliographic or citation information, comment, testimonial, feedback, message, image, video, text, profile data, or any other material (collectively, “User Content”) to CramEasy, any CramEasy employee or contractor, or on any CramEasy Website, you hereby grant CramEasy and its affiliates, licensees, distributors, agents, representatives, and other authorized parties a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully sublicensable (through multiple tiers), and fully transferable license to exercise all copyright, trademark, publicity, and database rights you hold in such User Content. This license includes the rights to use, reproduce, copy, display, publish, exhibit, distribute, modify, sell, offer for sale, create derivative works, and otherwise exploit the User Content in any media, whether now known or developed in the future.

Please note, pursuant to our Privacy Policy, CramEasy will not create or display social advertisements using your name, profile, or photograph to promote products or services to your network based on your interactions with CramEasy without your express written consent.

You represent and warrant that: (i) you own all rights in the User Content you submit or otherwise have the right to grant the license described above; and (ii) your submission of User Content does not infringe upon the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any third party.

Upon our request, you agree to provide documentation, evidence, or releases to verify your compliance with these Terms of Use.

Except as otherwise specified in our Privacy Policy or other agreements at the time of submission, you acknowledge that your User Content is non-confidential and non-proprietary. You understand and agree that your relationship with CramEasy is not fiduciary, confidential, or special in any way regarding your User Content, and that no confidentiality obligation arises for CramEasy with respect to your User Content.

It is CramEasy’s policy not to accept unsolicited content, ideas, or materials beyond those specifically requested, to prevent potential misunderstandings if similar concepts are independently developed by CramEasy.

CramEasy is under no obligation to monitor or enforce your intellectual property rights in your User Content but reserves the right to protect and enforce its own and its licensees’ rights related to your User Content.

To the fullest extent permitted by applicable law, CramEasy disclaims any obligations to you concerning your User Content and reserves the right, but is not obligated, to monitor, display, accept, or remove your User Content at its discretion. This includes private messages exchanged between users on our services.

This section shall survive the termination or expiration of your relationship with CramEasy.

Note: User Content submissions and associated rights and responsibilities are subject to the Nigerian Copyright Act, Nigerian Data Protection Regulation (NDPR) 2019, and other applicable Nigerian privacy and intellectual property laws.

ACCEPTABLE USE POLICY

You are solely responsible for all User Content you submit or transmit through our Services and for all interactions with other users. By providing User Content via our services, you agree to comply with the following Community Usage Rules. CramEasy reserves the right to remove prohibited content, terminate responsible accounts, and report unlawful activities to law enforcement where appropriate.

  • Infringes copyright, trademark, or other intellectual property rights (e.g., uploading copyrighted textbooks or materials without permission).
  • Contains false, misleading, or defamatory statements.
  • Discloses personal or private information about another individual without consent.
  • Includes photos, videos, or recordings of others without their permission.
  • Contains obscene, offensive, or discriminatory language or imagery.
  • Encourages or provides instructions for cheating, academic dishonesty, or unlawful activity.
  • Harasses, bullies, or threatens others.

Prohibited activities include, but are not limited to:

  • Uploading or sharing materials that are unlawful, discriminatory, harassing, obscene, or otherwise inappropriate for an educational environment.
  • Submitting content that infringes on the intellectual property, privacy, or other rights of any person.
  • Attempt to bypass or disable any security features of our Services.
  • Introduce viruses, malware, bots, or other harmful code.
  • Access, copy, or distribute our content or other users’ materials without permission.
  • Use automated tools or scripts to interact with the Services in an unauthorized way.
  • Interfere with or disrupt the normal operation of the Services or related networks.
  • Use the Services in violation of any applicable law or regulation.

Note: Violations of this Acceptable Use Policy may implicate provisions of the Nigerian Cybercrimes (Prohibition, Prevention, etc.) Act 2015, Nigerian Communications Act 2003, and the Nigerian Criminal Code Act, which prohibit unlawful computer activities, cyber harassment, fraud, and unauthorized access to computer systems.

SERVICE MODIFICATIONS

CramEasy reserves the right, at its sole discretion, to modify, suspend, or discontinue any of its Services, in whole or in part, at any time and without prior notice. Descriptions of our services do not guarantee continuous or uninterrupted operation, as CramEasy regularly updates its services and features. Such changes may not be immediately reflected in these Terms of Use.

MOBILE USE

Our services may include features accessible via mobile devices, such as uploading content, receiving messages, downloading applications, or using other functionalities. Standard messaging, data, or other carrier fees may apply and are your responsibility. If you change or terminate your mobile number, please update your CramEasy account promptly to ensure you receive important notices.

EMAIL AND TEXT MESSAGE NOTIFICATIONS

CramEasy will send notifications and receipts to the email address you provide. You may opt to receive SMS reminders as a courtesy. CramEasy may contact you using automated or prerecorded messages at the phone numbers you provide, including wireless numbers.

CramEasy will never request personal information, account credentials, or payment details via email or SMS. Any such requests purportedly from CramEasy should be considered fraudulent. CramEasy disclaims liability for misuse of information provided through fraudulent communications.

ACCOUNT CANCELLATION

You may request cancellation of your account at any time. We recommend contacting our support team for assistance to ensure a smooth cancellation process. CramEasy reserves the right to cancel accounts at its discretion, including for inactivity or misuse. CramEasy operates a no-refund policy for subscriptions and payments, including partial service periods, unused accounts, or renewal payments, except where otherwise required by applicable law. Account holders must cancel subscriptions before renewal dates to avoid charges. All services are billed in advance on a recurring basis; charges are non-refundable, and no credits will be issued for unused service periods.

PAYMENTS AND PAYMENT PROCESSING

Validation: CramEasy may require a valid payment method (credit/debit card, PayPal, etc.) upon registration or ordering. You are responsible for ensuring the payment method is valid and updated. CramEasy may initiate a temporary “pending” charge for validation, which will not result in an actual charge.

Authorization Holds: Certain transactions may involve authorization holds, which temporarily restrict funds but do not constitute a charge. If an authorization is rejected, CramEasy may attempt to charge other payment methods on file without further notice unless prohibited by law.

You are responsible for ensuring sufficient funds are available at the time of transaction.

Other Policies: You must provide accurate billing address and card security details. CramEasy aims to process transactions promptly but does not guarantee processing times.

CramEasy may store your payment details and will charge for products/services, including auto-renewals. Failure to pay may result in referral to collections, including third-party agencies, and you may be liable for collection costs where permitted by law.

THIRD-PARTY LINKS, CONTENT AND APPLICATIONS

Our services may include links or features connecting you to third-party websites, content, or applications which we do not own, control, or endorse. Examples include social media sharing buttons or links to external sites.

You acknowledge that CramEasy is not responsible for the accuracy, legality, or any issues arising from third-party content or websites you access through our services. Any dealings you have with third parties; including payments, deliveries, warranties, or terms are solely between you and those third parties. CramEasy makes no guarantees about these third parties or their offerings.

LINKING POLICY

You may not link to CramEasy’s website or services without our prior written permission. Unauthorized linking is prohibited.

DISCLAIMER OF WARRANTIES

To the fullest extent permitted by Nigerian law, CramEasy’s services are provided “as is” and “as available,” without warranties or guarantees of any kind, whether express or implied. We do not guarantee that the services will be error-free, uninterrupted, secure, or free from viruses or other harmful components. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are prohibited by law. Your use of the services is at your own risk. We are not responsible for third-party content, linked websites, or advertisements, and we do not endorse any such materials.

LIMITATIONS OF LIABILITY

To the fullest extent permitted by Nigerian law, CramEasy and its affiliates shall not be liable for:

  • Indirect, incidental, special, purely economic, or consequential damages;
  • Losses arising from use or inability to use our services;
  • Damages caused by viruses, bugs, errors, interruptions, or other technical problems;
  • Loss of profits, goodwill, data, or business opportunities.

CramEasy’s total aggregate liability for all claims shall not exceed the greater of the amount you paid for the services in the last six (6) months.

This limitation does not apply to liability for personal injury, property damage, gross negligence, fraud, or any liability that cannot be excluded under Nigerian law.

By using our services, you waive, to the extent permitted by Nigerian law, any claims known or unknown arising from your use of the services.

INDEMNITY

You agree to indemnify and hold harmless CramEasy, its officers, employees, and partners from any claims, losses, damages, or expenses arising from:

  • Your content or conduct on our services.
  • Your breach of these Terms.
  • Your violation of Nigerian or other applicable laws.
  • Any infringement or misappropriation of others’ rights caused by you.
  • Any misrepresentations or misuse of CramEasy’s services related to your information or content.

You will cooperate with CramEasy in defending any claims and will not settle claims without CramEasy’s written consent. These indemnity obligations survive termination of your relationship with CramEasy.

REPORTING COPYRIGHT AND OTHER INTELLECTUAL PROPERTY VIOLATIONS

CramEasy respects intellectual property rights under the Nigerian Copyright Act (Cap C28, Laws of the Federation of Nigeria 2004, as amended) and other applicable laws, including the Trademarks Act and the Patents and Designs Act. If you believe that any content on our platform infringes your copyright or other intellectual property rights, you (or your authorized representative) should submit a written notice to support@CramEasy.ai With the Subject: INFRINGEMENT ON COPYRIGHT COMPLAINT

Your notice must include:

  • Your full contact details (name, address, telephone number, and email address).
  • A clear description of the work claimed to be infringed (e.g., title, ISBN, or other identifying information).
  • The exact location (URL or content link) of the alleged infringing material on our platform.
  • A statement confirming that you have a good-faith belief that the use is not authorized by you, your agent, or the law.
  • Your signature.
  • A declaration that the information in your notice is accurate and that you are the rights owner or authorized to act on their behalf.

Upon receipt of a complete notice, we will promptly review and take appropriate action, which may include removing or disabling access to the infringing content.

NOTE: CramEasy reserves the right to remove content pending resolution of ownership disputes and will notify complainants of removal actions.

Misrepresentation of infringement claims may lead to civil and criminal penalties, including damages and prosecution for perjury under Nigerian law. You consent to CramEasy sharing your complaint with alleged infringers as necessary. CramEasy enforces termination of accounts engaging in repeated intellectual property violations.

POLICIES

When using CramEasy, you are subject to any posted policies or rules applicable to features you use through the CramEasy app or website, including without limitation our Terms of Use and other such notices we may from time to time provide. All such policies or rules are hereby incorporated into these Terms of Use. These policies may change from time to time.

PRIVACY POLICY

Please refer to our Privacy Policy for information on how we collect, use, and disclose information from our users. You acknowledge and agree that your use of our services is subject to our Privacy Policy.

CRAMEASY DISCOUNTS AND PROMOTIONS

From time to time, CramEasy may offer discounts, bonuses, coupons, loyalty programs, contests, or other promotions. Each promotion will have its own rules and eligibility requirements, which will be made available before participation. Promotions will clearly state any applicable expiry date and limitations. Discounts apply only to the base price of the product or service and exclude taxes, shipping, late fees, or other additional charges. CramEasy complies with the Federal Competition and Consumer Protection Act (FCCPA) and other applicable Nigerian laws in all promotional activities.

TAX

Purchases from CramEasy may be subject to taxes in Nigeria and other jurisdictions. Depending on your location and the nature of the product or service, these may include Value-Added Tax (VAT) under the Value Added Tax Act, withholding tax (where applicable), or other statutory charges. Unless otherwise indicated, all prices shown are exclusive of applicable taxes. Where Nigerian law requires us to collect VAT or other taxes, the applicable amount will be added to your total bill, shown on your invoice, and remitted by CramEasy to the relevant tax authority. If a business or government customer is required by law to withhold tax from payments to CramEasy, such withholding will be done in accordance with applicable laws, and the customer must provide CramEasy with the relevant tax credit certificate. You remain responsible for all applicable taxes, duties, or levies on your purchases, unless you qualify for an exemption under Nigerian law and provide valid proof of such exemption.

CERTAIN PAYMENTS AND RENEWALS

Payment for certain Services is due in advance of each applicable membership period (e.g., monthly or annually). EXCEPT WHERE PROHIBITED BY LOCAL LAW, MONTHLY AND ANNUAL MEMBERSHIPS MAY AUTOMATICALLY RENEW AND YOUR CREDIT CARD OR OTHER PAYMENT METHOD WE HAVE ON FILE FOR YOU WILL BE CHARGED ON THE FIRST DAY OF EACH RENEWAL PERIOD UNTIL YOUR MEMBERSHIP IS TERMINATED BY US OR CANCELLED BY YOU. IF ANY OF OUR CHARGES ARE REJECTED FROM THE PAYMENT METHOD YOU HAVE INDICATED IS YOUR PREFERABLE PAYMENT METHOD, YOU AUTHORIZE US (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) TO, IN OUR SOLE DISCRETION: (I) RETRY SUCH PAYMENT METHOD; AND/OR (II) COLLECT FROM ANY OTHER PAYMENT METHOD WE HAVE ON FILE FOR YOU.

FREE TRIAL MEMBERSHIPS

Where permitted by local law, we may from time to time offer free trials for some of our Services. Such trials may require you to register with a valid credit card to commence. Users that sign up for a free trial membership at a particular level will be automatically renewed at the promoted membership rate for that level at the end of the trial period unless the user cancels the membership at least before the end of the trial, unless the terms of the offer explicitly state otherwise. You can cancel a free trial online on our services or by contacting CramEasy’s customer support. After cancellation of a free trial, you may be able to continue as a Free Member with reduced benefits or access. Only one free trial membership is allowed per person. Subsequent registrations do not qualify for free trials. Unless the terms of a promotion state otherwise, for promotions that include “free” periods with “paid” periods, paid periods will elapse first. We may introduce new or additional features, services or materials to our services which may be a part of, or priced separately from, existing levels of membership at our sole discretion.

NOTE TO STUDENTS AND TEACHERS

CramEasy is committed to the principles of academic integrity. Our system is designed to enhance the educational process – it is not designed or intended to replace thinking. It is not designed or intended to help students cheat or bypass the learning process. Any use to the contrary is a violation of these terms of use. We believe that used properly, CramEasy will enhance the educational experience by making learning easier. Please do not engage in or tolerate any misuse of our product.

MISCELLANEOUS

Unless otherwise stated in these Terms of Use, if any provision of the Terms of Use is declared to be wholly or partially void, invalid, illegal or unenforceable, that provision is severed to the extent that it is void, invalid, illegal or unenforceable and all remaining provisions continue in full force and effect. The failure of CramEasy to exercise or enforce any right or provision of the Terms of Use is not a waiver of such right or provision. The section titles of the Terms of Use are for convenience only and have no legal or contractual effect. Non-performance of either party, except for the failure to make required payments, will be excused to the extent performance is delayed or rendered impossible by any reason where failure to perform is beyond the reasonable control of the non-performing party. This “Miscellaneous” section shall survive any expiration or termination of your relationship with CramEasy.

CHANGES

CramEasy may modify the Terms of Use including the linked policies contained herein from time to time (“Updated Terms”). You agree that we may notify you of the Updated Terms by posting them on the CramEasy Website so that they are accessible via a link on the home page, and that your use of our Services after we have posted the Updated Terms (or engaging in such other conduct as we may reasonably specify), you agree to be bound by the then-current version of the Terms of Use, including any changes we may have made since the last time you used our Services. It is therefore important that you review the Terms of Use regularly to ensure you are aware of any such changes. The updated Terms of Use will be effective as of the time of posting, or such later date as may be specified in the updated Terms of Use and will apply to your use of our services from that point forward.

ENTIRE AGREEMENT

This Terms of Use, including (a) any related policies and terms referenced in the Terms of Use and (b) any Additional Terms, are the entire agreement between you and CramEasy regarding our services. The Terms of Use may not be modified without the consent of a duly authorized representative of CramEasy and will supersede and prevail over any terms or conditions you may include with any purchase order or other transaction document or communication with us, regardless of whether CramEasy signs them or fails to object to them. This “Entire Agreement” section shall survive any expiration or termination of your relationship with CramEasy.
